Terms & Conditions
Last updated: 31 August 2026
These Terms & Conditions ("Terms") govern the use of the website toniroce.com (the "Site") and any design, branding, Google Business Profile, and web development services (the "Services") provided by Toni Roce, trading as TONI ("we", "us", "our"), based in Novi Sad, Serbia.
By contacting us through the Site, requesting a proposal, or engaging our Services, you ("Client", "you") agree to these Terms.
[Once your paušalac registration is complete, add your registered business name, PIB (tax ID) and matični broj (registration number) here. Until then, Services are provided by Toni Roce as an individual.]
1. Services
We provide the following packages, as described on the Site's Services and Pricing pages:
- Get Online — Google Business Profile setup or audit, business categories, description, hours, location, and social media profile setup/upgrade.
- Get Found — a custom one-page website, including two years of hosting and one standard domain registration, plus everything in Get Online.
- Get Remembered — a brand identity system (logo, colour palette, typography, and mini brand guidelines).
- Get Everything — a bundle combining Get Online, Get Found and Get Remembered.
The exact scope, deliverables, and timeline for your project will be confirmed in writing (by email or a written proposal) before work begins. Information on the Site is descriptive and does not itself constitute a binding offer — a project only becomes binding once scope, price, and payment are agreed in writing between you and us.
2. Quotes and Proposals
Prices shown on the Site are starting prices for the standard scope of each package. A written quote or proposal may adjust pricing based on your specific requirements (for example, additional pages, extra revisions beyond standard scope, or rush timelines). Quotes are valid for 30 days unless stated otherwise.
3. Payment Terms
- A 50% deposit is required before work begins on your project.
- The remaining 50% is due upon completion, before final files are delivered, the website is published, or a Google Business Profile transfer/handover is completed.
- Payment methods will be confirmed at the time of the proposal.
- Work will not start (or will be paused) until the deposit is received, and final deliverables will not be released until the balance is paid in full.
- Late payment may result in a pause of ongoing work and, for hosted websites, a temporary suspension of the site until payment is received.
4. Revisions
Revisions are included within the agreed scope of the project, as outlined in your proposal — there is no fixed limit on the number of revision rounds, provided requested changes stay within the original brief. Requests that materially expand the scope (new pages, a different design direction after approval, additional logo concepts, etc.) may be treated as a separate, additional quote.
5. Cancellations & Refunds
- If you cancel a project before any work has started, your deposit will be refunded in full.
- If you cancel after work has started, you will be refunded the portion of your payment that corresponds to work not yet completed, based on the stage reached at the time of cancellation (for example, before concepts are delivered, after first drafts, etc.). Work already completed and delivered is non-refundable.
- Once a website has been published, a domain registered, or a Google Business Profile handed over to your control, those specific components are not refundable, though any unused portion of remaining project work may still qualify under the above.
6. Client Responsibilities
To deliver your project on schedule, we ask that you:
- Provide requested content (text, photos, logos, login access, etc.) in a timely manner, or let us know if you'd like help sourcing/creating it.
- Respond to requests for feedback and approval within a reasonable time.
- Ensure you have the rights to any content, images, or brand assets you supply to us.
Delays in providing feedback or materials may extend the project timeline accordingly.
7. Ownership & Intellectual Property
- Upon full payment, you will own the final approved deliverables specific to your project (e.g., final logo files, final website content, and the Google Business Profile itself).
- Preliminary concepts, drafts, unused design directions, and working files remain the property of Toni Roce / TONI unless separately agreed in writing.
- We retain the right to display completed projects in our portfolio, on the Site, and on social media (Instagram, Dribbble, Behance) for promotional purposes, unless you request otherwise in writing.
- Website code, templates, and design frameworks we use to build sites may incorporate our own reusable components and are not to be copied, resold, or redistributed independently of your finished project without permission.
- Any third-party assets used in your project (stock photography, fonts, plugins, hosting platform, etc.) remain subject to their own licence terms.
8. Hosting & Domains (Get Found / Get Everything)
- Packages that include hosting cover two years of hosting and one standard domain registration, as stated in your proposal.
- After this period, continued hosting and/or domain renewal will require a separate, agreed renewal fee to keep the site and domain active. We will notify you in advance of the renewal date.
- We are not responsible for outages, downtime, or issues caused by the hosting provider, domain registrar, or third-party services (including Google) beyond our reasonable control.
- If you choose to move hosting or your domain to a different provider, we can assist with the transfer; this may be subject to an additional fee depending on complexity.
9. Google Business Profile
Google Business Profiles are owned and controlled by Google and are subject to Google's own terms of service. We help set up, optimize, or audit your profile, but we do not control Google's policies, search rankings, or profile approval process, and cannot guarantee specific rankings, visibility, or customer volume.
10. No Guarantee of Results
We make reasonable efforts to deliver professional, effective work, but we do not guarantee specific business outcomes such as a set number of customers, enquiries, sales, website traffic, or search rankings. Results depend on many factors outside our control, including your market, competition, and how you use the delivered materials.
11. Limitation of Liability
To the maximum extent permitted by law, Toni Roce / TONI is not liable for any indirect, incidental, or consequential damages arising from the use of the Site or the Services, including loss of profits, business, or data. Our total liability for any claim relating to a project is limited to the amount paid by you for that specific project.
12. Confidentiality
We will keep any confidential business information you share with us for the purpose of your project private, and will not disclose it to third parties except as needed to deliver the Services (e.g., a hosting provider) or as required by law.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top will reflect the most recent version. Continued use of the Site or ongoing engagement of our Services after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Republic of Serbia. Any disputes will be subject to the jurisdiction of the competent courts in Novi Sad, Serbia, unless otherwise required by applicable consumer protection law.
